Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, strikes, pandemics, or internet infrastructure failures. The affected party shall provide prompt notice of such circumstances.
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration before the Philippine Dispute Resolution Center, Inc. (PDRCI) in accordance with its rules.
All Imperium Inc reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our Services after such posting constitutes acceptance of the updated Terms. For material changes, we will provide at least 30 days' notice to active clients.
